Terms of Service

1. Preamble & Operating Entity

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "You", or "Your Organization") and DragonVerse Media Inc., a Colorado corporation ("Company", "Evidlane", "we", or "us").

By accessing, browsing, testing, or subscribing to Evidlane (hosted at getevidlane.com, its API endpoints, or associated subdomains), you agree to be bound by these Terms and our related Privacy Policy and Data Processing Addendum.

2. Quality Assurance Authority & Software Boundaries

Customer Retains Sole Approval Authority:All final decisions regarding whether a supplier, ingredient, processing site, or document meets regulatory standards (including but not limited to SQF Edition 9 Clause 2.3.4, BRCGS Food Safety Issue 9 Section 3.5, and FDA FSMA Rule 204) are the exclusive responsibility of Customer's human QA/PCQI team. Evidlane provides continuous status visibility but does not automatically approve suppliers without human review.

3. Workspace Accounts & Single-Use Supplier Links

You are responsible for managing workspace credentials, configuring authorized email domains, assigning internal roles (Owner, Admin, QA Reviewer), and maintaining the confidentiality of session access keys.

Zero-Login Supplier Portals: When requesting compliance documentation from external raw material vendors, Evidlane generates 32-byte cryptographically secure, single-use upload tokens valid for 7 days. Customer acknowledges that anyone possessing a valid, unexpired upload link may submit documents to the specified evidence slot. Links can be revoked at any time via the Evidlane dashboard.

Prohibited Use: You agree not to use the service to upload malicious software, probe system vulnerabilities, initiate unauthorized penetration tests without prior written consent, scrap competitor data, or reverse engineer any part of the service.

4. Customer Data, Intellectual Property & Private Storage

Customer Ownership:Customer retains 100% ownership of all uploaded supplier certificates, specifications, allergen matrices, third-party audit reports, and audit trail records ("Customer Content").

Limited Processing License: You grant DragonVerse Media Inc. a limited, non-exclusive license solely to host, parse, scan for viruses, encrypt, back up, and display Customer Content as necessary to provide the Evidlane service.

Private Cloudflare R2 Vault: Uploaded evidence is stored in encrypted, non-public Cloudflare R2 object storage. Files are accessed strictly via presigned, time-limited URLs (300-second TTL) authorized by authenticated session tokens.

5. Commercial Plans, Billing & Stripe Integration

Subscription Plans: Pricing tiers (Design Partner Pilot $199/month, Core Facility $499/month, Enterprise Multi-Plant) and supplier capacity quotas are set forth at checkout or in an executed Enterprise Order Form.

Payment Processing: Payments are processed securely via Stripe. We do not store or process raw credit card numbers. Subscriptions renew automatically unless cancelled prior to the end of the current billing period.

Refunds: Fees are non-refundable except as required by applicable law or as explicitly agreed in a customized Enterprise Service Level Agreement.

6. Warranties, Availability & Limitation of Liability

Platform Availability: We strive to maintain 99.9% platform availability, backed by our real-time status infrastructure at /status. Scheduled maintenance will be announced with advance notice.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, DRAGONVERSE MEDIA INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, AUDIT SANCTIONS, REGULATORY FINES, OR PRODUCT RECALL COSTS).

DRAGONVERSE MEDIA INC.'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL BE STRICTLY LIMITED TO THE TOTAL FEES PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE INCIDENT GIVING RISE TO LIABILITY.

7. Termination & Audit Package Export Guarantee

Termination: Either party may terminate this agreement with 30 days written notice or immediately in the event of a material breach not cured within 14 days.

One-Click Evidence Portability: Evidlane guarantees that Customers may generate and export full ZIP audit packages containing all approved supplier certificates, review histories, and immutable audit ledgers prior to workspace closure. Following account termination, customer data is purged from active databases and Cloudflare R2 storage in accordance with our 30-day retention schedule.

8. Governing Law, Dispute Resolution & Legal Contact

These Terms are governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law principles. Any dispute arising from these Terms shall be resolved in the state or federal courts located in Colorado.
